1. Acceptance of Terms

By accessing, browsing, or using LawfirmAI ("Service," "Platform," "we," "us," or "our"), whether as a guest or registered user, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must immediately cease using the Service.

Representation of Authority: By creating an account or using the Service on behalf of an organization (law firm, legal department, etc.), you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

LawfirmAI is a multi-tenant Software-as-a-Service (SaaS) platform that provides:

• AI-powered legal document generation using fine-tuned language models
• Document review and analysis with risk assessment
• Template management and customization
• Case law intelligence and citation suggestions
• Multi-jurisdiction support (200+ countries)
• Secure document storage with optional client-side encryption
• Team collaboration and role-based access control
• Professional letterhead and formatting integration

3. User Accounts

To access certain features of the Service, you must register for an account. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of LawfirmAI and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

7. Subscription and Payment Terms

7.1 Subscription Plans

LawfirmAI offers multiple subscription tiers (Demo, Basic, Pro, Enterprise) with different features, usage limits, and pricing. By subscribing to a paid plan, you agree to pay all applicable fees.

7.2 Billing and Payments

• Billing Entity: All payments are processed on behalf of Konye Consultants Limited (trading as LawfirmAI)
• Billing Frequency: Subscriptions are billed monthly or annually in advance, based on your selected plan
• Payment Processing: Payments are processed securely through IntaSend, our third-party payment processor (PCI-DSS compliant). Payments will appear as charges from Konye Consultants
• Currency: All prices are in Kenyan Shillings (KES) unless otherwise stated
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled
• Failed Payments: Failed payments trigger a 7-day grace period. After the grace period, your account may be suspended
• Price Changes: We reserve the right to change pricing with 30 days' notice to existing subscribers

7.3 Refunds and Cancellations

• No Refunds: All payments are non-refundable except as required by law or as expressly stated in these Terms
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period
• Data Access After Cancellation: You retain read-only access to your data for 30 days after cancellation
• Demo/Trial Plans: Free demo plans may be terminated at any time without notice if misused or if limits are exceeded

7.4 Usage Limits and Quotas

Each subscription plan includes specific limits for AI credits, storage, users, and documents. Exceeding these limits may result in:

• Temporary service suspension until limits reset or you upgrade your plan
• Additional charges for overage (if applicable and agreed upon)
• Requirement to upgrade to a higher-tier plan

Credit Resets: AI credits and usage limits reset monthly on your billing anniversary date. Unused credits do not roll over to the next billing period.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

9. AI-Generated Content and Disclaimer

9.1 "AS IS" and "AS AVAILABLE" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or availability of the Service
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the quality or accuracy of AI-generated content

9.2 Professional Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

• Reviewing and verifying all AI-generated content before use
• Ensuring compliance with applicable laws, rules of professional conduct, and ethical obligations
• Maintaining attorney-client privilege and confidentiality
• Obtaining appropriate professional liability insurance
• Meeting all professional licensing and regulatory requirements

10. Limitation of Liability

EXCLUSIONS FROM LIABILITY:

LawfirmAI, its officers, directors, employees, agents, and affiliates shall NOT be liable for:

• Legal malpractice or professional negligence claims arising from use of AI-generated documents
• Missed deadlines, statute of limitations, or procedural errors
• Adverse court rulings, judgments, or legal outcomes
• Client complaints, bar discipline, or professional sanctions
• Unauthorized access to your account due to weak passwords or compromised credentials
• Service interruptions, downtime, or technical failures
• Third-party service failures (AI providers, payment processors, cloud infrastructure)

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY: In jurisdictions where limitation of liability is not permitted, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless LawfirmAI and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law, regulation, or professional rule of conduct
• Use of AI-generated documents in legal proceedings or client matters
• Any claim that your use of the Service caused harm to a third party
• Legal malpractice claims related to documents created using our Service

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

12.2 Jurisdiction and Venue

Any disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya. You irrevocably consent to the jurisdiction and venue of such courts.

12.3 Dispute Resolution

Before filing any legal action, you agree to first attempt to resolve any dispute informally by contacting us at legal@lawfirm-ai.co.ke. We will attempt to resolve the dispute through good faith negotiations within 30 days.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified to you via:

• Email to your registered email address
• Prominent notice on the Service
• In-app notification

Changes become effective 30 days after notification for existing users. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
